These Terms of Use (“Terms”) are entered into by and between you and Ahida Correale, LLC, a Washington limited liability company (“Company,” “we,” “us,” or “our”). Indemnification

Mandatory Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any product purchased through the Website (each a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that:

  • Either party may bring an individual action in small claims court.
  • Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.

Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@ahidacorreale.com within 30 days of your first purchase. Your notice must include your name, address, and a clear statement that you wish to opt out.

Location. Any in-person arbitration hearing will take place in St. Louis County, Missouri, unless you and the Company agree otherwise or the arbitrator determines otherwise. Arbitration may also be conducted by telephone or video conference.

Governing Rules. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms, and any dispute or claim arising from or related to them (including non-contractual disputes), shall be governed by the internal laws of the State of Delaware without regard to conflict of law principles.

Subject to the Mandatory Arbitration section above, any legal action or proceeding not subject to arbitration shall be instituted exclusively in the federal courts of the United States District Court for the Eastern District of Missouri or the courts of the State of Missouri sitting in St. Louis County, although we retain the right to bring any action against you for breach of these Terms in your country of residence or any other relevant country. You waive any objection to jurisdiction or venue in such courts.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by the Company of any term of these Terms shall be deemed a further or continuing waiver. If any provision of these Terms is held by a court or other tribunal to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent so that the remaining Terms will continue in full force and effect.

Entire Agreement

These Terms, our Privacy Policy, and our Terms of Sale constitute the sole and entire agreement between you and the Company regarding the Website and supersede all prior understandings, agreements, representations, and warranties.
